Thank you for visiting Jazzy Edits at www.jazzyedits.com. These are Terms and Conditions for web design services, website hosting & domain registration, and other services provided by Jazzy Edits. The customer will provide billing information in order for Jazzy Edits to maintain website hosting and registration services, and web design services. Necessary information will be requested by Jazzy Edits and provided by the customer. Order form completion, submission and/or signing indicates agreement to these Terms and Conditions. By your continued use of Jazzy Edits, you agree to this revision and any subsequent revision of the Terms and Conditions, and acknowledge that Jazzy Edits may make revision at any time.
Acceptance of Proposal
It is the responsibility of the customer to review in full all proposals for website development, website design, and other services provided by Jazzy Edits. Should services require deviation from the original proposal, Jazzy Edits reserves the right to either decline additions or invoice appropriately to accommodate additional time and materials. Payment for additions that fall above the scope of the original project is due prior to development or within 15 days, at Jazzy Edits’ discretion.
Project Timeline
The customer is responsible for reviewing the project timeline and adhering to the expected dates of deliverables on their behalf. Failure to meet deadlines imposed by Jazzy Edits will result in delay of project, or risk putting the project on hold. Jazzy Edits may invoice customer for additional resources should the delay of a project interrupt Jazzy Edits’s workflow. Indefinite delay of a project may result in project termination, in which case a new development agreement must be reached before restarting. Down payments for services are partially refundable, but may not be returned to customer should a project be delayed or terminated as a result of the customer’s negligence.
Website Hosting Payment Terms
Billing for website hosting begins when the web design proposal, before new development begins. Website hosting services, which include updates and maintenance, are billed annually. Payment is due 15 days prior to the annual bill date of hosting services. The customer will beign to receive renewal notices 60 days prior to renewal. Termination of hosting services, and domain name registration if provided, with Jazzy Edits requires a 30-day advance notification via phone, email or postal mail. Domain name registration and hosting services will expire together. Jazzy Edits reserves the right to change the rates by notifying customers 60 days in advance of the effective date of the change. Jazzy Edits reserves the right to cancel hosting service at any time.
If for any reason hosting services are terminated prior to the annual bill date, Jazzy Edits will offer a prorated refund of annual fee based on the number of days remaining in the billing cycle.
Website Development Payment Terms
Website Development: Jazzy Edits requires a minimum of 25% down payment on all website development and design services. Down payment on website development is partially refundable, and down payment amount may be modified at Jazzy Edits’ discretion. The final balance is due 15 days from completion of website development project. If Jazzy Edits is developing a website that is not also hosted by Jazzy Edits, final payment for the project must be received prior to website go-live date.
Website Maintenance: Jazzy Edits requires the first month/year for website maintenance services as initially agreed upon by the customer and Jazzy Edits, and full payment for any additions, upon order completion and prior to development. Monthly service will be billed on the first day of each calendar month, for as long as the service remains active. Annual service will be billed on the annual bill date for as long as the service remains active.
Overall Payment Terms
Payment is due 15 days after the date of invoice. Customers are considered to be in default if payment is not received 20 days after date of invoice date, and customers who are 60 days in default will be subject to service interruption. Such interruption does not relieve the customer from the obligation to pay the invoice. If the customer defaults, the customer agrees to pay Jazzy Edits its reasonable expenses, including any legal or collections fees, incurred in enforcing its rights under these Terms and Conditions.
Website Go Live and Access
A project is considered complete when development is complete and approved by the customer. Changes requested by the costumer are completed complimentarily by Jazzy Edits for 15 days following acceptance. Requests beyond the 15 days will require a paid maintenance plan agreement between Jazzy Edits and the customer. Account access to website and written or verbal training will be provided at Jazzy Edits’ discretion following initial down payment and as agreed upon in the project proposal.
Responsible Use of Content
The customer is responsible for all content posted or stored on their web hosting space. Jazzy Edits will not be responsible for any damages which may result from the use of this service by its customers or third parties. Jazzy Edits may provide back up services as a convenience, but is not responsible for backing up data or recovering data in case of loss on the customer’s behalf. There are no warranties expressed or implied.
Account Safety
The customer agrees to keep all user IDs and access codes/passwords confidential. Sharing of account information and passwords is not recommended. The customer will contact Jazzy Edits immediately via email or telephone if the customer believes account information has been compromised.
Service Interruptions
Jazzy Edits is not responsible for interruptions of service beyond its control, which includes natural disasters and interruptions by its service providers.
Governing Laws
Jazzy Edits is located in Chattanooga, Tennessee. This agreement will be performed in and governed by the laws of the State of Tennessee. Any claims or legal action arising out of these Terms and Conditions must be instituted within one year after the claim or cause has arisen. Jazzy Edits reserves the right to discontinue service for violation of any of the conditions of this agreement. All claims, disputes, and controversies arising out of or in relation to the performance, interpretation, application, or enforcement of this agreement, including but not limited to breach thereof, shall be referred to mediation before, and as a condition precedent to, the initiation of any adjudicative action or proceeding, including arbitration.
Third Party Networks
Any access to other networks connected to Jazzy Edits’ network must comply with the rules appropriate for that other network.
Website Copyright
Websites copyrights are transferred to the website purchaser after full payment is completed. After copyright transfer, customer may receive a full backup of their website upon cancellation. This backup will include the website directory in a .zip file and database dump files, if applicable.
Termination/Cancellation
Jazzy Edits requires a 30-day notice for website hosting canceling, annual maintenance plans, or any other maintenance plans agreed upon between Jazzy Edits and the customer. Upon cancellation, the customer will be sent a final bill and/or refund amount up to 30 days after intent to cancel services. The customer must request any website files and backup files in a timely manner. Jazzy Edits reserves the right to delete any website files after 60 days of service cancellation.
